General Terms and Conditions of Sale
1. Purpose
These General Terms and Conditions of Sale (GTCS) supersede any prior
agreement between Mulliez-Flory Group and its customers,
with the exception of specific conditions set out in the contract.
The buyer acknowledges having read and accepted them.
Any amendment hereto shall require an express written agreement. These
General Terms and Conditions of Sale apply to all transactions carried out
by Mulliez-Flory Group and also to orders placed through
our agents, representatives or authorised intermediaries. Placing an order
implies the buyer's full and unconditional acceptance of these GTCS, to the
exclusion of all other documents such as brochures or catalogues issued by
the seller, which are for information purposes only.
2. ORDERS
Any order sent to our Company and confirmed by us shall be deemed irrevocable, whether or not a deposit has been paid. Our Company shall only be bound by orders subject to written and signed confirmation, or upon shipment of the products.
3. PRICES
Unless otherwise specified, all prices are quoted exclusive of tax and, for goods delivered outside France, exclusive of local duties. With the exception of confirmed prices and/or within the validity period of current offers and contracts, the prices shown in our price lists and proposals are subject to revision without notice in line with economic developments.
4. DELIVERY TIMES
Regardless of our intention to meet them as closely as possible, the
delivery times indicated for orders are given for information purposes only.
A delay in supply shall therefore not entitle the buyer to cancel the sale
or claim damages.
In any event, delivery within the stated timeframe can only take place if
the buyer is up to date with all obligations towards our Company, regardless
of the cause.
The seller shall be released from its delivery obligations in any case of
unforeseen circumstances or force majeure. The following shall be considered
as force majeure events releasing the seller from its obligation to deliver:
war, riots, fire, strikes, accidents, and the seller's own inability to
obtain supplies.
5. PLACE OF DELIVERY AND TRANSPORT
The shipment of goods, even in the case of carriage-paid deliveries, is always made at the buyer's risk, from the moment the goods leave the seller's warehouses, unless the buyer makes explicit reservations upon receipt.
6. COMPLAINTS – RETURNS
Packages must be inspected upon receipt. Any irregularities, damage or missing items must be recorded on the delivery receipt with as much detail as possible, confirmed to the carrier no later than 2 days by registered letter with acknowledgement of receipt, and reported to us within the same timeframe.
7. CONFORMITY OF EXECUTION
The conformity of our products with specifications, samples provided or any
indicated characteristics or dimensions is only guaranteed subject to
standard tolerances.
In the case of special production, the quantities ordered and confirmed are
given as indicative. The quantities delivered and invoiced may differ by
plus or minus 10%.
Goods must be inspected upon receipt and any irregularity must be reported
immediately and before any processing.
No complaint shall be accepted after a period of 8 days from receipt. It
shall be the buyer's responsibility to provide all evidence regarding the
existence of the defects or irregularities identified. The buyer must allow
the Supplier every facility to verify such defects and to remedy them. The
buyer shall refrain from intervening or having a third party intervene for
this purpose. No return shall be accepted without the prior agreement of our
Company, which may only be given following a substantiated and verified
complaint.
Any product returned without the agreement of our Company shall be held at
the buyer's disposal and shall not give rise to the issue of a credit note.
In the event of irregularity or damage to delivered products, duly verified
by our Company under the conditions specified above, the buyer may obtain
free replacement or reimbursement of the products, at our Company's
discretion, to the exclusion of any compensation or damages. The costs and
risks of return shall always be borne by the buyer.
8. PAYMENT
Our goods are payable at SEVREMOINE - 49710, notwithstanding any clause to
the contrary. Unless otherwise stated in the contract, our invoices are
payable "30 days end of month" by bank transfer.
In the case of new accounts, or in the absence of a guarantee, payment may
be required upon collection.
In the event of late payment, a fixed compensation for recovery costs of a
minimum of €40 per invoice shall be due (Art. D441-5 French Commercial
Code).
Any delay in the actual payment of the invoice shall incur interest from
the due date (at a rate of 10% per annum). In addition, the buyer shall
reimburse all costs incurred by the contentious recovery of amounts due,
including bailiff fees.
Furthermore, in the event of late payment, any invoice due, even if not yet
payable, shall become immediately due and payable, and any order in progress
may be cancelled at our sole discretion.
The seller reserves the right, at any time, depending on the risks
involved, to set a credit limit for each buyer and to require specific
payment terms or guarantees.
In the event of a discount for cash or accelerated payment, this shall be
calculated at the interbank rate plus 1 point, applied to the effective
reduction in the payment term for the amounts due. It shall be the buyer's
responsibility to reduce the deductible VAT amount accordingly.
9. STORAGE OF GOODS
Goods that have become the property of our customers and which remain, at their request, in our premises, are stored under their responsibility. It is therefore their responsibility to insure them against any damage caused by fire in particular or any other cause.
10. RETENTION OF TITLE
The seller retains ownership of the goods until full payment of the price. The risk associated with the goods is transferred to the buyer upon making them available, including in the case of carriage-paid sales. The buyer is therefore solely responsible and must take all corresponding precautions. Law No. 80-335 of 12 May 1980 applies in full to the goods listed in this document.
11. TRADEMARKS AND DESIGNS
All designs, trademarks or models provided by us, even as samples, remain
our sole property and may not be copied or counterfeited under penalty of
legal proceedings.
We may only reproduce, at our customers' request, designs, trademarks or
models that are free of all rights or of which the customer owns or holds
the rights of use.
Our liability may under no circumstances be sought for any action that may
be brought as a result of our production of specific models entrusted to us
by our customers.
12. JURISDICTION
In the event that it becomes necessary to resort to the courts, the Commercial Court of GRENOBLE shall have sole jurisdiction.
